Welcome to SignFlow. These Terms of Service ("Terms") constitute a binding agreement between you ("User") and SignFlow ("Company", "we", "our"). Using SignFlow's services, including the website, application, and related interfaces, constitutes full acceptance of these Terms.
If you do not agree to these Terms — please refrain from using the service.
1. Definitions
The following terms shall have the meanings set out beside them, whether used in the singular or plural:
"Service" — The SignFlow digital document signing platform, including all features, tools, interfaces, and related services offered through the website or application.
"User" — Any individual or legal entity that has registered for or uses the Service, including users on a free plan and paid plans.
"Document" — Any file uploaded to the Service for the purpose of signing, sending for signature, reviewing, or storage.
"Digital Signature" — An electronic signature executed through the Service, including identifying information about the signer, a timestamp, and authentication data.
"Account" — The personal or business user account created upon registration for the Service, including identification details, settings, and documents.
"Content" — Any information, text, document, image, or other material that the User uploads, creates, or processes through the Service.
2. Service Description
SignFlow is an Israeli digital document signing platform. The Service enables users to:
- Upload documents and send them for digital signature by other parties.
- Digitally sign documents sent to them.
- Manage multi-party signing workflows with real-time status tracking.
- Receive a complete Audit Trail for every signed document, including timestamps, IP addresses, and identification data.
- Store signed documents securely and in encrypted form.
- Use document templates and integrations (Webhooks, Zapier) with external systems.
SignFlow reserves the right to update, modify, or add features to the Service from time to time, without prior notice.
3. Registration & User Account
3.1 Registration
To use the Service, you must create an account and provide accurate and up-to-date information, including your full name, a valid email address, and a password. You represent and warrant that all information provided during registration is true, accurate, and complete.
3.2 Minimum Age
The Service is intended for users aged 18 and over only. By registering for the Service, you confirm that you are at least 18 years of age.
3.3 Account Responsibility
You are solely responsible for maintaining the confidentiality of your account login credentials, including your password. Any action taken through your account will be considered an action taken by you or with your authorization. You must notify us immediately of any unauthorized use of your account.
3.4 Business Account
A user registering on behalf of a legal entity (company, sole proprietor, etc.) declares that they are authorized to act on behalf of that entity and to bind it to these Terms.
4. Permitted & Prohibited Use
4.1 Permitted Use
The User may use the Service for:
- Digitally signing legitimate documents for personal, business, or professional purposes.
- Sending documents for signature to third parties who have agreed to receive them.
- Storing and managing signed documents within the account.
4.2 Prohibited Use
The User agrees not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload content that is offensive, threatening, defamatory, misleading, pornographic, or that infringes third-party rights.
- Impersonate another person or sign on behalf of another without lawful authorization.
- Attempt to hack, disrupt, or overload SignFlow's systems, servers, or communication networks.
- Use bots, automated scripts, or any other tool for automated access to the Service without prior written consent.
- Copy, reproduce, disassemble, or reverse-engineer the Service or any part thereof.
- Distribute viruses, malware, or any other harmful code through the Service.
- Transfer or sell your account to a third party.
SignFlow reserves the right to suspend or close the account of any User who violates these Terms, without prior notice and without prejudice to any other remedy available to it.
5. Intellectual Property
5.1 SignFlow's Rights
All rights in the Service, including design, source code, algorithms, logo, trademarks, texts, and all content created by SignFlow — belong solely to SignFlow and are protected under intellectual property laws in Israel and worldwide. Use of the Service does not grant the User any rights in SignFlow's intellectual property, other than a limited, personal, non-exclusive right to use the Service in accordance with these Terms.
5.2 User Rights
The User owns all Content uploaded to the Service. SignFlow does not claim ownership over the User's documents, their content, or the signatures on them. The User grants SignFlow a limited license to process, store, and display the Content solely for the purpose of providing the Service.
6. Legal Validity of Signed Documents
6.1 Electronic Signature Law
A digital signature executed through SignFlow constitutes an electronic signature as defined under the Electronic Signature Law, 5761-2001 (Israel). Under this law, an electronic signature that is not a "secured electronic signature" is admissible as evidence in legal proceedings, but does not benefit from the presumption of validity accorded to secured electronic signatures under the law.
6.2 Audit Trail
SignFlow generates a detailed Audit Trail for every signed document, including timestamps, IP addresses, identifier details, and actions performed. This trail serves as supporting evidence of signature authenticity.
6.3 Legal Disclaimer
SignFlow is not a law firm and does not provide legal advice. The Service is a technological tool for executing digital signatures only. The User is solely responsible for ensuring that documents and signatures comply with the legal requirements applicable to their specific case. When in doubt, it is recommended to consult with a lawyer.
6.4 Limitations
There are certain types of documents for which Israeli law requires a secured electronic signature or a handwritten signature only (e.g., certain real estate documents, wills, and others). SignFlow is not responsible for determining the legal validity of any specific document.
7. Pricing, Payment & Billing
7.1 Plans
SignFlow offers various plans, including a limited free plan and paid plans with extended features. Details of the plans, prices, and features included in each plan are published on the pricing page of the website.
7.2 Currency & Prices
All prices displayed on the website are in New Israeli Shekels (₪) and include VAT as required by law, unless expressly stated otherwise.
7.3 Billing
Payment for paid plans is made by credit card or another payment method accepted on the platform. Billing is collected in advance, in accordance with the selected billing cycle (monthly or annual).
7.4 Automatic Renewal
The subscription renews automatically at the end of each billing period, unless the User cancels the subscription before the renewal date.
7.5 Price Changes
SignFlow reserves the right to change prices. A price change will take effect in the next billing cycle after at least 30 days' prior notice is given.
8. Cancellation & Refund Policy
8.1 Subscription Cancellation
The User may cancel the subscription at any time through the account settings. Cancellation will take effect at the end of the current billing period, and the User will continue to enjoy the Service until that date.
8.2 Refunds Under Consumer Protection Law
In accordance with the Consumer Protection Law, 5741-1981, and the Consumer Protection Regulations (Transaction Cancellation), 5771-2010 (Israel):
- Remote (online) transaction: The User may cancel the transaction within 14 days from the date of the transaction or from the date of receiving the disclosure document, whichever is later, subject to a cancellation fee of 5% of the transaction price or ILS 100, whichever is lower.
- Senior citizen, person with a disability, or new immigrant: The cancellation period is 4 months from the date of the transaction or from the date of receiving the disclosure document, whichever is later.
- After the statutory cancellation period, no refunds will be given for a subscription period that has already been paid, but automatic renewal may be cancelled.
8.3 Annual Plan
Annual subscriptions may be cancelled at any time. A refund will be calculated on a pro-rata basis for the remaining period, less the cancellation fee described in section 8.2.
9. Limitation of Liability
9.1 Service Condition
The Service is provided "AS IS". SignFlow makes reasonable efforts to ensure the availability and proper functioning of the Service, but does not warrant that the Service will be available at all times, uninterrupted, free from failures, or error-free.
9.2 Liability Cap
In any event, SignFlow's total liability to the User, whether arising from contract, tort, or any other cause, shall not exceed the amounts paid by the User to SignFlow in the six (6) months preceding the event giving rise to the damage.
9.3 Exclusion of Indirect Damages
SignFlow shall not be liable for indirect, consequential, special, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, even if it has been advised of the possibility of such damages.
9.4 Exceptions
Nothing above shall limit liability in cases where the law does not permit limitation of liability, including cases of gross negligence or willful misconduct.
10. Indemnification
The User agrees to indemnify and defend SignFlow, its directors, employees, and agents from and against any claim, demand, damage, expense, and loss (including reasonable attorneys' fees) arising from:
- The User's breach of these Terms.
- Unlawful or unauthorized use of the Service.
- Infringement of any third party's rights.
- Content uploaded by the User to the Service.
11. Privacy
Use of the Service is also subject to SignFlow's Privacy Policy, which forms an integral part of these Terms. The Privacy Policy details how personal information is collected, used, stored, and protected.
12. Changes to Terms
SignFlow may update these Terms from time to time. Material changes will be published on the website and an update will be sent to the email address registered in the User's account, at least 30 days before the change takes effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. A User who does not agree to the changes may close their account and stop using the Service.
13. Termination of Service
13.1 Termination by SignFlow
SignFlow may suspend or terminate a User's account or access to the Service, immediately and without prior notice, in the following cases:
- Breach of these Terms.
- Activity suspected of being unlawful.
- Non-payment of amounts owed for the Service.
- Request by a competent authority.
13.2 Data Export
Upon account termination, SignFlow will allow the User to download their signed documents for a period of 30 days after account closure. After that, SignFlow may delete all data associated with the account, subject to applicable law.
13.3 User-Initiated Termination
The User may close their account at any time through the account settings. Before closing the account, it is recommended to download all signed documents.
14. Governing Law & Jurisdiction
These Terms are governed by and construed exclusively in accordance with the laws of the State of Israel. The competent courts in Tel Aviv-Jaffa shall have exclusive jurisdiction to hear any dispute arising from or relating to these Terms.
